Item 2.02 - Results of Operations and Financial Condition
On May 13, 2008, United-Guardian, Inc. issued a press release announcing its financial results for the fiscal quarter ended March 31, 2008. A copy of that press release is furnished as Exhibit 99.1 to this report.
Item 8.01 - Other Events
On May 15, 2008 United-Guardian, Inc. issued a press release announcing that its Board of Directors, at its meeting on May 14, 2008, had declared a semi-annual cash dividend of $.27 per share to all stockholders of record as of June 2, 2008, to be payable on June 16, 2008. A copy of that press release is furnished as Exhibit 99.2 to this report.
