Item 5.07. Submission of Matters to a Vote of Security Holders.

The Annual Meeting of Stockholders (the "Annual Meeting") of Tengasco, Inc. ("the Company") was held on June 20, 2011for the purpose of considering and voting on  (1) the election of five nominated directors to the Board of Directors to serve until the next Annual Meeting or until their successors have been duly elected and qualified; (2) the approval of changing the state of incorporation of the Company from Tennessee to Delaware;  and (3) the ratification of the appointment  by the Audit Committee of the Board of Directors of Rodefer Moss & Co, PLLC  as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2011.

At the close of business on April 5, 2011, the record date for the determination of stockholders entitled to vote at the Annual Meeting, there were 60,687,413 shares of the Company’s common stock issued and outstanding and entitled to vote at the Annual Meeting. The holders of 53,385,516shares of the Company’s common stock were represented in person or by proxy at the Annual Meeting, constituting a quorum.

The proposal to approve the Agreement and Plan of Merger for the purpose of changing the state of incorporation of the Company from Tennessee to Delaware was passed as follows:
