Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously announced by Tiffany & Co. (the “Company”) pursuant to its Current Report on Form 8-K filed on May 13, 2016, Ralph Nicoletti, Executive Vice President − Chief Financial Officer, has notified the Company that he intends to resign from his position effective May 20, 2016. The Company is conducting a search to identify a successor. In the interim, Frederic Cumenal, Chief Executive Officer, also will be considered the Company’s “principal financial officer” for SEC reporting purposes.  Biographical and other information regarding Mr. Cumenal is set forth in the Company’s Proxy Statement in respect of its 2016 Annual Meeting, filed with the SEC on April 8, 2016.
