On December 31, 2008, First Interstate BancSystem, Inc. (the “Registrant”) completed the sale of
all of the outstanding stock of i_Tech Corporation (“i_Tech”), the Registrant’s wholly-owned
technology services subsidiary. The outstanding stock of i_Tech was purchased by Fiserv
Solutions, Inc., a wholly-owned subsidiary of Fiserv Inc., pursuant to a Stock Purchase
Agreement (“Purchase Agreement”) dated December 15, 2008. The Purchase Agreement was previously
filed as an exhibit to the Registrant’s Current Report on Form 8-K, as filed with the Securities
and Exchange Commission on December 16, 2008.
