State below in reasonable detail the reasons why the Form 10-K, 11-K, 20-F,
10-Q, N-SAR, or the transition report or portion thereof, could not be filed
with the prescribed time period.

The registrant's annual report on Form 10-K for the period ended December 31,
2004 was prepared in a manner to include all of the disclosures required under
the applicable rules and regulations of the SEC. The requirements relating to
these disclosures, including newly adopted requirements promulgated under the
Sarbanes-Oxley Act of 2002, are complex and the registrant has expended
substantial effort and expense to comply with them in a timely fashion. The
registrant was in the process of finalizing its Form 10-K on March 16, 2005 when
it discovered certain errors in the EDGARized version of the proof returned from
the third-party filing service for review. As a result of these errors, certain
corrections to the Form 10-K needed to be made late in the afternoon. These
changes were completed and the registrant's 10-K was filed at approximately 6:30
PM on March 16, 2005. Because this was filed after the 5:30PM filing deadline,
the 10-K is deemed by the SEC to be filed as of March 17, 2005, which is one day
after the applicable due date.

         General Rules and Regulations under the Securities Exchange Act of
         1934.

         amendments thereto must be completed and filed with the Securities and
         Exchange Commission, Washington, D.C. 20549 in accordance with Rule
         0-3 of the General Rules and Regulations under the Act.  The
         information contained in or filed with the form will be made a matter
         of public record in the Commission files.

3.       A manually signed copy of the form and amendments thereto shall be
         filed with each national securities exchange on which any class of
         securities of the registrant is registered.
