Item 5. Other Events
On April 8, 2004, International Steel Group Inc. (the "Company")
announced that it priced the offering of $600 million of its Senior Notes due
2014 in a transaction exempt from the registration requirements of the
Securities Act of 1933. Pursuant to Rule 135c of the Securities Act, the Company
is filing herewith the press release issued April 8, 2004 as Exhibit 99.1
hereto.
The Senior Notes to be offered will not be and have not been registered
under the Securities Act and may not be offered or sold in the United States
absent registration or an applicable exemption from the registration
requirements.
