Item 8.01.		Other Events.

     On January 23, 2008, the Board of Directors of BancorpSouth, Inc. (the “Company”) approved the appointment of Gordon Lewis as Executive Vice President of the Company and Vice Chairman of BancorpSouth Bank, effective as of December 21, 2007. Mr. Lewis, age 58, has served as BancorpSouth Bank’s President of the Texas/Louisiana Region since 2000.
