Section 4 — Matters Related to Accountants and Financial Statements
     Item 4.02(a). Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.
          On February 16, 2007, the Audit Committee of the Board of Directors of BancorpSouth, Inc. (the “Company”), upon recommendation from management and after discussion with KPMG LLP, the Company’s independent registered public accounting firm, concluded that the previously issued unaudited consolidated financial statements for the quarter ended September 30, 2006 contained in the Company’s quarterly report on Form 10-Q filed November 8, 2006 should not be relied upon because of an accounting error where a $6.8 million non-recurring income-tax expense that was reported in a press release filed on Form 8-K announcing the Company’s financial results for the fourth quarter of 2006 should have been recorded in the third quarter of 2006. The Company issued a press release announcing that it will amend its quarterly report on Form 10-Q for the quarter ended September 30, 2006 in order to correctly record a $6.8 million non-recurring provision for income taxes in the third quarter of 2006 rather than in the fourth quarter of 2006. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
