Item 2.02		Results of Operation and Financial Condition

On May 7, 2008, American Railcar Industries, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended March 31, 2008. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference.
