Inc. and BB&T Capital Markets, a division of Scott & Stringfellow, Inc., as representatives of the several underwriters named in Schedule II thereto, and the First Supplemental Indenture, dated as of December 23, 2003, to the Indenture Regarding Subordinated Securities, dated as of May 24, 1996, between BB&T Corporation and U.S. Bank National Association, a national banking association (successor to the coporate trust business of State Street Bank and Trust Company), as Trustee.
