On August 5, 2003, Andrea Electronics Corporation (the "Company")
announced that Paul E. Donofrio has been appointed President and Chief Executive
Officer of the Company. Mr. Donofrio succeeds Christopher P. Sauvigne whose
employment terminated effective August 1, 2003.

Exhibit 99.1 and incorporated herein by reference.
