On May 1, 2007, The Estee Lauder Companies Inc. (the "Company") completed its previously announced offering of $600 million aggregate principal amount of senior notes consisting of $300 million aggregate principal amount of its 5.550% Senior Notes due 2017 (the "2017 Notes") and $300 million aggregate principal amount of its 6.000% Senior Notes due 2037 (the "2037 Notes" and together with the 2017 Notes, the "Notes"). The Notes were offered under the Company's automatic shelf registration statement on Form S-3 (No. 333-142342) filed with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the "Securities Act"), on April 25, 2007. The Notes were issued under the Indenture, dated as of November 5, 1999, between the Company and U.S. Bank Trust National Association, as successor in interest to State Street Bank and Trust Company, as trustee. The 2017 Notes Mature on May 15, 2007 and the 2037 Notes mature on May 15, 2037. Interest on the Notes is payable on May 15 and November 15 of each year, beginning on November 15, 2007. The Company may, at its option, redeem some or all of the Notes at any time by paying a make-whole premium, plus accrued and unpaid interest, if any, to the date of redemption. The Notes are senior unsecured obligations of the Company and rank equally with all of its other senior unsecured indebtedness. The Notes are subject to certain customary covenants, including limitations on the Company's ability to merge, consolidate or sell assets; limitations on the ability of the Company and certain of its subsidiaries to secure indebtedness with liens; and limitations on sale and leaseback transactions by the Company and certain of its subsidiaries. In addition, upon the occurrence of a Change of Control Repurchase Event (as described in the officers' certificates setting forth the terms of the 2017 Notes and the 2037 Notes (each, an "Officers' Certificate)), the Company will be required to make an offer to repurchase the Notes at 101% of the aggregate principal amount.
