EXPLANATORY NOTE
This Post-Effective Amendment No. 1 to the registration statement on Form S-8 (File No. 333-147986) filed by The Gap, Inc. (the “Company”) with the Securities and Exchange Commission (the “Commission”) on December 11, 2007 (the “Form S-8”) is being filed in order to deregister securities remaining under such registration statement.
A total of 3,000,000 shares of the Company’s common stock, $0.05 par value, were originally registered on the Form S-8 for issuance under the GapShare Plan (the “Plan”) in connection with the Company Stock Fund investment option under the Plan.
Effective July 24, 2015, the Company Stock Fund was frozen as a Plan investment option. As a result of the freeze, participants will no longer be able to make a new investment in the Company Stock Fund through the Plan. In addition, quarterly dividends (if any) paid as a result of existing participant investments in the Company Stock Fund may not be reinvested in such fund through the Plan. Following the freeze, participants with existing investments in the Company Stock Fund in their Plan account will generally have the ability to liquidate their investment in the Company Stock Fund at any time (subject to certain limitations).

As a result of the freeze of the Company Stock Fund investment option, employer securities will no longer be offered to participants in the Plan. In accordance with Item 512(a)(3) of Regulation S-K and the undertaking made by the Company in the Form S-8 to remove from registration, by means of a post-effective amendment, any shares of Company stock which remain unsold at the termination of the offering under the Plan, the Company is filing this Post-Effective Amendment No. 1 in order to deregister the 1,735,822 shares of the Company’s common stock, $0.05 par value, that remained unsold on the July 24, 2015 effective date of the freeze, and that will not be issued under the Plan.
