Item 1.01. | Entry into a Material Definitive Agreement. |
On June 7, 2018, lululemon athletica inc. entered into a stock repurchase agreement with funds affiliated with Advent International Corporation (Advent) to repurchase 3,300,000 shares of lululemon’s common stock for $121.00 per share in a private transaction. The aggregate purchase price was approximately $400 million. The repurchase of the shares from Advent under the stock repurchase agreement will be consummated on June 12, 2018. The stock repurchase agreement contains customary representations, warranties and covenants of the parties.
The foregoing description of the stock repurchase agreement does not purport to be complete and is qualified in its entirety by reference to the stock repurchase agreement, a copy of which is attached as Exhibit 10.1 to this current report and is incorporated herein by reference.

On June 7, 2018, lululemon athletica inc. issued a press release announcing that it had agreed to repurchase 3,300,000 shares of its common stock in a private transaction with funds affiliated with Advent International Corporation (Advent).
