Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 26, 2018, Mark McDade notified Five Prime Therapeutics, Inc. (the “Company”) of his decision to resign from the Board of Directors of the Company (the “Board”) effective November 30, 2018. Mr. McDade’s resignation from the Board is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On November 29, 2018, the Company issued a press release announcing Mr. McDade’s resignation from the Board and announcing that Lewis T. “Rusty” Williams, M.D., Ph.D. will transition from Executive Chairman of the Board to Board member, and William R. Ringo, a current member of the Board, will become Chairman of the Board effective January 1, 2019. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
