Item 8.01. Other Events.

As previously disclosed, on February 13, 2018, Kemper Corporation, a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among the Company, Vulcan Sub, Inc., an Ohio corporation and a wholly owned subsidiary of the Company (“Merger Sub”), and Infinity Property and Casualty Corporation, an Ohio corporation (“Infinity”). The Merger Agreement provides, among other things, that, upon the terms and subject to the conditions set forth in the Merger Agreement, Merger Sub will merge with and into Infinity, with Infinity surviving as a wholly-owned subsidiary of the Company (the “Merger”).

On March 13, 2018, the Company issued a press release announcing that the Federal Trade Commission (“FTC”) notified the Company and Infinity that it had granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 with respect to the proposed Merger. The consummation of the Merger remains subject to the satisfaction or waiver of applicable closing conditions, including approvals of the stockholders of the Company and Infinity and receipt of required insurance regulatory clearances and approvals. A copy of the press release is filed herewith as Exhibit 99.1 to this current report on Form 8-K and is incorporated herein by reference.
