On February 16, 2016, Westlake Chemical Corporation (“Westlake Chemical”) and Westlake NG IV Corporation (“Westlake NG IV” and together with Westlake Chemical, “Westlake”) nominated nine candidates (the “Nomination”) to stand for election to the Board of Directors of Axiall, at Axiall’s upcoming 2016 annual meeting of stockholders (the “Annual Meeting”).

On June 10, 2016, Westlake withdrew the Nomination and agreed that at the Annual Meeting, it will vote all of the shares of Axiall common stock beneficially owned by it in accordance with the recommendation of Axiall’s Board of Directors.
