The registrant hereby amends this registration statement on such date or dates as may be necessary to delay its effective date until the registrant shall file a further amendment which specifically states that this registration statement shall thereafter become effective in accordance with Section 8(a) of the Securities Act or until the registration statement shall become effective on such date as the Securities and Exchange Commission, acting pursuant to Section 8(a), may determine.

 

 

 


EXPLANATORY NOTE

Consistent with undertaking 17(c) in Part II of the Form S-3 Registration Statement of Middlefield Banc Corp., Registration No. 333-191895 filed October 1, 2014, this Post-Effective Amendment No. 1 is filed for the sole purpose of removing from registration all 196,635 shares the offering of which is registered on Form S-3. The offering of the shares terminated on October 5, 2015 with the repurchase by Middlefield Banc Corp. of all 196,635 shares offered by Eric D. Hovde, the selling stockholder.
