Item 1.01 Entry into a Material Definitive Agreement.

On February 8, 2013, American Superconductor Corporation (the “Company”) entered into a Supply Contract with Inox Wind Limited (“Inox”). The aggregate contract value of the Supply Contract is approximately $32 million. During the term of the Supply Contract, Inox has agreed to purchase electric control systems from the Company. The Supply Contract provides that shipments to Inox are scheduled to begin in March 2013 and span over a 17-month period.

The foregoing description of the Supply Contract does not purport to be complete and is qualified in its entirety by reference to the full text of the Supply Contract, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference herein.
