On February 10, 2010, the Board of Directors of The Boeing Company (the Company) elected Susan C. Schwab, Professor, University of Maryland School of Public Policy, as a new director. Ambassador Schwab served as U. S. Trade Representative from June 2006 to January 2009 and as Deputy U.S. Trade Representative from October 2005 to June 2006. Ambassador Schwab also serves on the boards of directors of Caterpillar Inc. and FedEx Corporation.
The Board of Directors of the Company has appointed Ambassador Schwab to the Audit Committee and the Finance Committee.
Ambassador Schwab will participate in the Companys nonemployee director compensation program, which is described on pages 23-25 of the Companys proxy statement for its 2009 Annual Meeting of Shareholders filed with the Securities and Exchange Commission on March 13, 2009, and which includes an annual cash retainer fee of $100,000 and an annual grant of retainer stock units valued at $130,000.

On February 10, 2010, the Board of Directors approved and adopted an amendment to Article II, Section 1 of the By-Laws of The Boeing Company to increase the number of directors from eleven to twelve. A copy of the amended and restated By-Laws is attached hereto as Exhibit 3.2 and is incorporated herein by reference.
