Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 21, 2009, American Electric Technologies, Inc. executed an amended employment agreement with John H. Untereker which extends the term of Mr. Unterekers employment from February 7, 2011 to December 31, 2011. The amended contract with Mr. Untereker reflects his continuing role as Senior Vice President and Chief Financial Officer on essentially the same terms and compensation elements as the previous contract. New terms in the amended contract include partial vesting of equity compensation in the event of termination without cause. The description of this amended employment agreement is a summary of the terms. A copy of the amended employment agreement will be filed as an exhibit with the companys Form 10-K for the year ending December 31, 2009.
