Item 8.01 Other Events.

On May 3, 2007, American Tower Corporation (the “Company”) issued a press release announcing that its wholly owned subsidiary, American Towers, Inc., had priced its cash tender offer for any and all of its outstanding $325,075,000 aggregate principal amount of 7.25% Senior Subordinated Notes due 2011 (the “Notes”) and related consent solicitation. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated by reference herein.
