The registrant announced on January 3, 2007, that it has filed a Preliminary Proxy Statement with the Securities and Exchange Commission in connection with its proposed business combination with M & I Electric Industries, Inc.

A copy of the press release announcing the filing is attached as Exhibit 99.1 and is incorporated herein by reference.
