Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 28, 2006 Registrant held its annual meeting of stockholders. Howard W. Kelley, Timothy C. Adams, Joseph F. McGuire, Erik Wiisanen, Lamar Nash, Kenneth M. Cornell and Clark Schaffer were elected as directors at the annual meeting. John Presley did not seek reelection and he departed the board as of the annual meeting.
