* Pursuant to the Agreement and Plan of Merger, dated as of May 3, 2005, among American Tower Corporation, Asteroid Merger Sub, LLC, a wholly owned subsidiary of American Tower Corporation (“Merger Sub”), and SpectraSite, Inc (“SpectraSite”), on August 8, 2005, SpectraSite merged with and into Merger Sub with Merger Sub surviving the merger.
