 Remarks: Reflects the beneficial ownership of the reporting person at the time of his appointment as a member of the Board of Directors of Eaton Corporation plc ("New Eaton") and does not include the securities acquired by the reporting person upon the consummation of the merger of Eaton Corporation with a wholly owned subsidiary of New Eaton (the "Merger") on November 30, 2012.  The Merger was consummated simultaneous with and conditioned on New Eaton's acquisition of Cooper Industries plc by means of a "scheme of arrangement", an Irish statutory procedure under the Companies Act of 1963.  The reporting person will file a Form 4 reflecting his acquisition of New Eaton securities in connection with the consummation of the Merger. |
