State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report portion thereof, could not be filed within the
prescribed time period.

The Company has experienced unexpected technical delays in completing the Form
10-QSB for the period ending September 30, 2007. While the Company is actively
working to complete the necessary steps to finalize the content of the Company's
filing, the Company is not able to file its Form 10-QSB by the prescribed filing
date without unreasonable effort and expense. The Company currently anticipates
that it will be able to file the Form 10-QSB on or before November 15, 2007.
