Item 8.01. Other Events.

 

On March 15, 2006, Benchmark Electronics, Inc. issued a press release announcing a 3-for-2 stock split in the form of a stock dividend. Shareholders of record at the close of business March 27, 2006 will receive one additional share for every two shares owned. The additional shares will be distributed on or about April 3, 2006. A copy of the press release is attached as Exhibit 99.1 hereto and is hereby incorporated herein by reference.
