On December 19, 2005, Benchmark Electronics, Inc. placed on its website (www.bench.com) a letter to all of its shareholders written in response to a letter from MMI Investments, L.P. dated November 16, 2005. A copy of the Company’s letter is attached as Exhibit 99.1 hereto and is hereby incorporated herein by reference.
