Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Effective December 1, 2004, the Board of Directors of Benchmark Electronics, Inc. approved and authorized an amendment to Article 4, Sections 10, 13, and 14 of the Amended and Restated Bylaws of the Company dated March 15, 2002 (the “Bylaws”). The Bylaws were amended to grant the Chief Financial Officer of the Company the authority to agree upon and execute all leases, contracts, evidences of indebtedness and other obligations of the Company.
