The 1996 Equity Participation Plan authorizes the issuance of a maximum of 6,100,000 shares. However, the offer and sale of 2,500,000 shares of common stock, which have been or may be issued under the 1996 Equity Participation Plan, have previously been registered pursuant to Form S-8 Registration Statement Nos. 333-21113 and 333-68757.
