Item 5.03.
Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.
 
On October 26, 2007, the Board of Directors of Bridgeline Software voted to amend Sections 1 and 3 of Article VI of Bridgeline Software’s By-Laws to permit the issuance of uncertificated shares of Bridgeline Software’s capital stock.  The amendments make Bridgeline Software eligible to participate in the Direct Registration System by January 1, 2008, as required by Nasdaq’s Marketplace Rules.

The effective date of the above amendment is October 26, 2007.  The foregoing description of the amendment to Bridgeline Software’s By-Laws does not purport to be complete and is qualified in its entirety by reference to the full text of such By-Laws, as amended, which is incorporated herein by reference to Exhibit 3.1 hereto.
