ITEM 5.05.
AMENDMENTS TO THE REGISTRANT’S CODE OF ETHICS, OR WAIVER OF A PROVISION OF THE CODE OF ETHICS.
 
On October 5, 2006, the Board of Directors of Schnitzer Steel Industries, Inc. (the “Company”) approved amendments to the Company’s Code of Conduct. The amendments to the Company’s Code of Conduct related to the following topics, among others:
 
q  
Policies for accepting or receiving gifts, gratuities, discounts and entertainment;
 
q  
Policies regarding compliance with the Foreign Corrupt Practices Act and other anti-corruption and anti-bribery laws and regulations;
 
q  
Policies restricting hospitality, gifts or entertainment for government officials, among others;
 
q  
Policies regarding political and charitable contributions; and
 
q  
Policies prohibiting association with entities that may be involved in criminal or terrorist activities.
 
The changes described above are effective as of October 5, 2006. The Code of Conduct, as amended, is available on the Company’s website at www.schnitzersteel.com, is filed herewith as exhibit 14.1 and is incorporated by reference herein.
